Terms of Service

1. Acceptance of Terms

By accessing or using OkFlow, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction), have the legal authority to enter into this agreement on behalf of yourself or your organization, and agree to be bound by these Terms.

If you are using OkFlow on behalf of an organization, the term "you" refers to that organization, and you represent that you have authority to bind the organization to these Terms. These Terms form a binding legal agreement between you and OkFlow.

2. Definitions

"Service" means the OkFlow web application, browser extension, WordPress plugin, API, and all associated features and tools.

"Workspace" means the organizational unit within OkFlow that groups users, projects, and content together under a subscription plan.

"User" means any individual who has been granted access to a Workspace, whether as an owner, member, or guest.

"Organization" means the legal entity or individual that owns and administers a Workspace.

"Content" means any data, text, images, annotations, tasks, comments, files, or other material that Users upload, create, or transmit through the Service.

3. Account Registration and Security

To use OkFlow, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You must notify OkFlow immediately at privacy@okflow.io if you believe your account has been compromised. OkFlow is not liable for any loss resulting from unauthorized access to your account that occurs through no fault of OkFlow.

You may not share your account credentials with third parties, create accounts by automated means, or misrepresent your identity or organizational affiliation during registration.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to upload, store, transmit, or share any content that is unlawful, defamatory, obscene, or that infringes the intellectual property rights of any third party.

You must not attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of any part of the Service. You must not use automated scripts, bots, or crawlers to scrape data from OkFlow or to access the Service in ways that exceed reasonable human use patterns.

You must not attempt to circumvent any security controls, rate limits, or access restrictions. OkFlow reserves the right to suspend or terminate accounts that violate this policy without prior notice.

5. Subscription Plans, Billing, and Refunds

OkFlow offers subscription plans billed on a monthly or annual basis. Prices are listed on the pricing page and may be updated from time to time with advance notice. By subscribing, you authorize OkFlow to charge your payment method at the rate and frequency corresponding to your selected plan.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. To cancel, you may do so at any time from your Workspace settings. Cancellation takes effect at the end of the current paid period; you retain access to the Service until that date.

OkFlow does not issue refunds for partial billing periods, except where required by applicable law. Annual plan subscribers who cancel within the first 14 days may request a pro-rated refund for the unused remainder at the discretion of OkFlow's support team.

6. AI Features and Fair Use

Paid plans include access to AI-powered features, including automated task generation, content analysis, and visual feedback processing. These features are provided under a fair-use policy tied to the number of seats in your Workspace.

OkFlow may throttle, queue, or temporarily disable AI features for Workspaces that exceed reasonable per-seat usage thresholds. What constitutes reasonable usage is determined by OkFlow based on aggregate usage patterns across the platform. OkFlow will provide in-product notice before applying sustained throttling.

AI features are provided on an as-available basis. OkFlow does not guarantee that AI outputs will be accurate, complete, or suitable for any specific purpose. You are responsible for reviewing AI-generated content before relying on or distributing it.

7. User Content and Licenses

You retain all ownership rights in the Content you upload or create through the Service. OkFlow does not claim ownership of your Content.

By uploading or creating Content in the Service, you grant OkFlow a non-exclusive, worldwide, royalty-free license to store, process, transmit, and display your Content solely to the extent necessary to provide the Service to you and authorized users in your Workspace. This license terminates when you delete the Content or close your account, subject to any legal retention obligations.

You represent that you have all necessary rights to grant this license and that your Content does not violate the rights of any third party or any applicable law.

8. Third-Party Integrations

OkFlow integrates with third-party services including Jira, Linear, Monday.com, ClickUp, Asana, Notion, GitHub, GitLab, Trello, and Clockify (among others). These integrations are provided for your convenience and are subject to the terms and privacy policies of the respective third-party providers.

OkFlow is not responsible for the availability, accuracy, or behavior of third-party services. When you connect a third-party integration, you authorize OkFlow to access your data on that platform to the extent necessary to provide the integration functionality.

OkFlow does not guarantee that integrations will remain available. Third-party providers may change their APIs or policies in ways that affect OkFlow's integrations without notice.

9. Service Availability

OkFlow provides the Service on a best-effort basis. We aim for high availability but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, infrastructure updates, and unforeseen incidents may result in temporary downtime.

No service-level agreement (SLA) with defined uptime commitments is included in standard plans. Enterprise plans may include separate SLA terms agreed to in writing.

OkFlow is not liable for any losses arising from service downtime, data unavailability, or performance degradation, except to the extent such losses result from OkFlow's gross negligence or willful misconduct.

10. Termination

Either party may terminate these Terms at any time. You may close your account through the Workspace settings. OkFlow may suspend or terminate your access immediately if you breach these Terms, fail to pay subscription fees, or if OkFlow determines that continued access poses a risk to the Service or to other users.

Upon termination, your right to access the Service ceases immediately. OkFlow will retain your Content for 30 days following account closure, during which time you may request an export. After this period, Content will be deleted from active systems. Certain logs and audit records may be retained for up to 90 days for security and compliance purposes.

Provisions of these Terms that by their nature should survive termination (including intellectual property, liability limitations, and dispute resolution) will survive.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OKFLOW'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO OKFLOW IN THE TWELVE MONTHS PRECEDING THE CLAIM.

OKFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE.

12. Indemnification

You agree to indemnify, defend, and hold harmless OkFlow, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your Content, your violation of these Terms, or your violation of any rights of a third party.

OkFlow reserves the right to assume exclusive control of any matter subject to indemnification, in which case you agree to cooperate with OkFlow in asserting any available defenses.

13. Governing Law and Dispute Resolution

Any dispute arising from or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration in accordance with applicable rules. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction where necessary to protect intellectual property or confidential information.

You agree that any claim must be brought in your individual capacity and not as a class action or representative proceeding.

14. Changes to Terms

OkFlow may update these Terms from time to time. When changes are material, OkFlow will provide at least 30 days advance notice by email to the address associated with your account and/or by posting a prominent notice in the Service.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Service and close your account before the effective date.
